The terms governing access to and use of the Manta Cloud platform, QR ordering system, administrative tools, integrations, and related services.

Effective: [DATE] Last Updated: [DATE] Business: Kumarjit Das · Manta Cloud
By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree with these Terms, you should not use the Platform.

1. Description of the Service

Manta Cloud provides software and technology infrastructure to restaurants, cafés, and other food-service businesses ("Tenants") to enable digital menu display, QR-based ordering, order management, payment-status verification, administrative dashboards, and related operational functionality.

The Platform may allow a restaurant's customers ("Customers") to:

  • Scan a QR code provided by a Tenant;
  • View the Tenant's digital menu;
  • Place food or beverage orders;
  • Select available payment methods provided by the Tenant's payment gateway;
  • Receive order confirmation or status information.

Customers are generally not required to create a Manta Cloud account to place an order.

Manta Cloud provides the technology through which these activities are facilitated. The food, beverages, products, prices, taxes, delivery/serving arrangements, and fulfilment of an order remain the responsibility of the relevant Tenant.

2. Relationship Between Manta Cloud, Tenants and Customers

Manta Cloud is a software and technology service provider.

A Tenant independently operates its restaurant or café and is responsible for the products and services it offers through the Platform.

Manta Cloud does not:

  • Own or sell the food or beverages listed by a Tenant;
  • Prepare, package, deliver, or serve food;
  • Set the Tenant's prices;
  • Determine whether an order should be accepted, rejected, cancelled, or refunded;
  • Guarantee the availability, quality, quantity, safety, legality, or suitability of products offered by a Tenant.

Any dispute concerning food quality, missing items, incorrect items, allergens, pricing, taxes, cancellation, order fulfilment, or refunds should primarily be directed to the relevant Tenant.

3. Payment Gateway and Payment Processing

Tenants may independently register with and use third-party payment gateways or payment service providers supported by Manta Cloud.

Each Tenant is responsible for completing its own onboarding, KYC, contractual arrangements, payment gateway configuration, and compliance obligations with the relevant payment service provider.

Where supported, a Tenant may provide payment-gateway credentials through secure configuration mechanisms or authorize an integration using OAuth or another authentication mechanism.

Manta Cloud's role is to provide software integration and, where technically applicable, verify payment status or receive payment-status notifications from the relevant payment service provider and update the Tenant's order-management system.

Manta Cloud does not intend to receive, hold, settle, or retain the underlying order payment on behalf of the Tenant.

Manta Cloud does not control the operation of banks, UPI systems, card networks, payment gateways, or other financial institutions. Payment failures, delayed confirmations, reversals, bank outages, gateway outages, chargebacks, and other payment-system events may occur outside Manta Cloud's control.

4. Payment Credentials

Manta Cloud does not require Customers to provide their card PIN, UPI PIN, CVV, password, or other confidential payment credentials directly to Manta Cloud.

Customers should complete payments only through the payment interface provided by the Tenant's selected payment service provider.

Manta Cloud will not knowingly request or store payment credentials such as UPI PINs, card PINs, or CVVs.

5. Orders

An order placed through the Platform is an order with the relevant Tenant.

The Tenant is responsible for accepting and fulfilling the order.

Displaying an order through the Platform does not by itself guarantee that the Tenant will be able to fulfil the order. For example, an item may become unavailable, the restaurant may close, or the Tenant may be unable to fulfil an order for operational reasons.

The Tenant may accept, reject, modify, or cancel orders in accordance with its own operational policies and applicable law.

6. Subscription Fees

Manta Cloud may charge Tenants a recurring subscription fee for access to the Platform.

The applicable subscription price, billing interval, features, usage limits, and other commercial terms will be communicated to the Tenant before or during subscription.

Unless otherwise agreed, subscription fees are payable in advance and are non-refundable for periods already commenced, except where required by applicable law or expressly agreed by Manta Cloud.

Manta Cloud may modify its subscription plans and pricing by providing reasonable notice to affected Tenants.

7. Order-Related Platform Fees

Manta Cloud may charge or facilitate the collection of a fixed or variable platform/order-processing fee associated with orders placed through the Platform.

The currently applicable fee may be displayed to the Customer before payment and may be changed by Manta Cloud from time to time.

Where an order-related fee is applicable, the fee and the party responsible for paying it will be disclosed through the relevant ordering or payment interface.

The exact collection and settlement mechanism for any such fee will depend on the applicable commercial and payment-gateway arrangement.

8. Taxes

Each Tenant is responsible for determining and complying with its own tax obligations, including applicable GST, invoicing, food-service taxes, local taxes, and reporting requirements.

Manta Cloud is not responsible for determining whether a Tenant has correctly applied taxes to its products or services.

Where applicable, Manta Cloud will issue invoices for its own subscription or platform services in accordance with applicable law.

9. Scheduled Maintenance and Availability

Manta Cloud aims to keep the Platform available and operational but does not guarantee uninterrupted or error-free availability.

Maintenance, security updates, database maintenance, infrastructure upgrades, third-party service interruptions, emergencies, or other technical events may temporarily affect availability.

Where reasonably practicable, planned maintenance may be performed during lower-traffic periods and advance notice may be provided.

Manta Cloud does not guarantee any particular uptime unless the Tenant has entered into a separate written SLA with Manta Cloud.

10. Hardware, Internet and Local Infrastructure

The Platform may require an internet connection, compatible browser, mobile device, computer, tablet, POS device, router, printer, or other hardware.

The Tenant is responsible for its own devices, internet connection, local network, electricity supply, browser compatibility, and other local infrastructure.

Manta Cloud is not responsible for service interruptions caused by a Tenant's ISP, router, local network, hardware failure, power outage, device malfunction, or incompatible software.

11. Tenant Responsibilities

Each Tenant agrees to:

  • Provide accurate business and account information;
  • Maintain the confidentiality of its login credentials;
  • Keep its menu, prices, taxes, availability, and business information accurate;
  • Comply with applicable laws and regulations;
  • Maintain appropriate food safety and licensing requirements;
  • Use supported payment-gateway accounts legitimately;
  • Respond appropriately to Customer complaints and refund requests;
  • Maintain appropriate access controls for its employees;
  • Notify Manta Cloud promptly of suspected unauthorized access.

The Tenant is responsible for activity conducted through its account.

12. Acceptable Use

You must not use the Platform to:

  • Reverse engineer, decompile, disassemble, or attempt to obtain source code;
  • Circumvent tenant isolation or security controls;
  • Attempt unauthorized access to another Tenant's data;
  • Scrape or systematically copy Platform content without permission;
  • Introduce malware, malicious code, or harmful software;
  • Interfere with the Platform's infrastructure;
  • Use the Platform for unlawful activities;
  • Resell or sublicense the Platform without written authorization;
  • Misrepresent Manta Cloud as the owner or operator of a Tenant's restaurant;
  • Attempt to manipulate payment-status information or order records.

13. Intellectual Property

All rights, title, and interest in the Manta Cloud software, source code, architecture, APIs, user interfaces, designs, trademarks, logos, documentation, and related intellectual property belong to Manta Cloud or its licensors.

Subject to payment of applicable fees and compliance with these Terms, Manta Cloud grants the Tenant a limited, non-exclusive, non-transferable, revocable right to use the Platform for its internal business operations during the applicable subscription period.

No ownership rights in Manta Cloud's intellectual property are transferred to the Tenant.

14. Tenant Content

Tenants retain responsibility for content and information they submit to the Platform, including menu names, descriptions, images, prices, restaurant information, tax information, and other business data ("Tenant Content").

The Tenant grants Manta Cloud a limited license to host, process, display, transmit, and otherwise use Tenant Content solely as necessary to provide and improve the Platform.

The Tenant represents that it has the necessary rights to upload and use such content.

15. Customer Content and Order Information

Customers may submit information necessary to place or identify an order.

Manta Cloud may process order information, device information, technical logs, and other information as described in the Privacy Policy.

16. Third-Party Services

The Platform may integrate with third-party services including payment gateways, cloud infrastructure providers, analytics services, communication providers, authentication providers, and other technology providers.

Manta Cloud is not responsible for the availability, performance, policies, or failures of third-party services.

Your use of a third-party service may also be governed by that provider's own terms and policies.

17. Suspension and Termination

Manta Cloud may suspend or terminate access where:

  • Subscription fees remain unpaid;
  • The Tenant materially breaches these Terms;
  • The Platform is being used unlawfully;
  • Security or abuse risks require immediate action;
  • Continued access could harm Manta Cloud, other Tenants, Customers, or third parties.

Where reasonably practicable, Manta Cloud may provide notice and an opportunity to remedy a breach before suspension.

Termination does not eliminate payment obligations already incurred.

18. Data and Security

Manta Cloud takes reasonable technical and organizational measures to protect information processed through the Platform.

However, no internet-based service can guarantee absolute security.

Tenants are responsible for maintaining appropriate security of their own accounts, credentials, devices, and third-party integrations.

19. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Platform is provided on an "as available" and "as is" basis.

Manta Cloud does not guarantee that:

  • The Platform will always be available;
  • The Platform will be completely error-free;
  • Every order will be successfully transmitted;
  • Every payment notification will be received immediately;
  • Third-party payment gateways will always function;
  • A Tenant will achieve any particular level of revenue or business performance.

20. Limitation of Liability

To the maximum extent permitted by applicable law, Manta Cloud will not be liable for indirect, incidental, special, consequential, exemplary, or punitive losses, including loss of profits, revenue, goodwill, business opportunities, or anticipated savings arising from use of or inability to use the Platform.

Subject to applicable law, Manta Cloud's aggregate liability arising from the Platform will not exceed the subscription fees actually paid by the affected Tenant to Manta Cloud during the three months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot legally be excluded or limited under applicable law.

21. Indemnification

To the extent permitted by law, a Tenant agrees to indemnify and hold Manta Cloud harmless from claims, losses, liabilities, damages, penalties, and expenses arising from:

  • The Tenant's products or services;
  • Food safety or allergen claims;
  • Incorrect menu information;
  • Incorrect pricing or taxation;
  • Violation of applicable laws;
  • Tenant Content;
  • Unauthorized use of the Tenant's account;
  • The Tenant's breach of these Terms;
  • Misconduct by the Tenant or its employees.

22. Force Majeure

Manta Cloud will not be responsible for failure or delay caused by events beyond its reasonable control, including natural disasters, war, civil unrest, government actions, internet failures, telecommunications failures, cyber incidents, power failures, cloud-provider outages, payment-system failures, strikes, or similar events.

23. Changes to These Terms

Manta Cloud may update these Terms from time to time.

Material changes may be communicated through the Platform, website, email, or other reasonable means.

Continued use of the Platform after the effective date of updated Terms constitutes acceptance of the revised Terms, to the extent permitted by law.

24. Governing Law and Dispute Resolution

These Terms are governed by the laws of India.

The parties should first attempt to resolve disputes through good-faith discussion.

If a dispute cannot be resolved amicably, the courts having jurisdiction in Kolkata, West Bengal, India, shall have jurisdiction, subject to applicable law.

Where separately agreed in writing, disputes may be referred to arbitration in accordance with applicable Indian law.
